        means design, supply, construction, delivery to site, installation, commissioning, remedy and repair practices which are carried out:

        1. (a)

          with the standard of skill, care and diligence which may reasonably be expected of a skilled and experienced professional carrying out design, supply, construction, delivery to site, installation, commissioning, remedy and repair work similar to the Works, except where the Employer’s Requirements expressly sets out performance standards and/or specific compliance requirements in respect of the Works which the Contractor is required to comply with, in which case the Contractor shall comply with any such standards and/or requirements or such other higher compliance standard;

        2. (b)

          in a manner that is Paris Aligned;

        3. (c)

          [in a manner that considers how wider local and global stakeholders (including employees, subcontractors, occupiers of the asset and supply chain partners) are affected by both climate risk and the transition to a low carbon economy

OR means a state of balance by [2050/insert other date] between sources and sinks of Greenhouse Gas (GHG) Emissions [in each calendar year] [and for each subsequent year thereafter] achieved by both reducing GHG Emissions overall and removing GHG Emissions to achieve [the goals of the Paris Agreement OR Paris Agreement Goals]]. OR means the time when the Company [and its Affiliates] [has OR have], according to an Independent Expert appointed by [x]: (a) reduce its Scope 1, 2 and 3 Greenhouse Gas (GHG) Emissions to a level consistent with the goals of the Paris Agreement/Paris Agreement Goals; (b) fully offset its Residual Emissions by permanently removing an equivalent amount of GHGs through the use of Climate Change Mitigation Measures; and (c) adhered to the UNFCCC requirements for just transition.]
